DR.K.S.Ravichandran, aged 52 years, He has been in practice as a Company Secretary ever since 1994. He is the managing partner of KSR & Co Company Secretaries LLP. He is a fellow of the Institute of Company Secretaries of India [ICSI], a lawyer by qualification and post graduate in commerce. He has spoken in more than 300 conferences, seminars and workshops and has authored hundreds of published articles in various journals. He has authored 7 books – Secretarial, Securities and Management Audit; Prosecution of Directors – Reliefs and Remedies; Secretarial Audit of Compliances under Economic, Labour and Securities Laws; The Law relating to Debt Recovery and winding up; the Law relating to Limited Liability Partnership; Related Party Transactions under Companies Act, 2013; and special editor of Company Law Procedures by M.C.Bhandari’s Revised Edition.

He is vociferous speaker and prolific writer. He holds a doctorate from the Department of Management of Alagappa University on prosecution of directors. He holds a Diploma in Electronics and Radio Communication Engineering and also a Diploma in Technology. He had served the Indian Air Force for over 9 years as a specialist in Russian Radar Systems. He was a lecturer in commerce for the Government of Arunachal Pradesh at Pasighat.

He is a member of International Association for Protection of Intellectual Property Rights. He is a member of INSOL INTERNATIONAL, a global organization of corporate insolvency professionals. He is a member of the Chartered Institute of Arbitrators. He is a member of the National Council for Corporate Affairs and Corporate Social Responsibility. His experience in the field of corporate management and legal advisory is well known in the corporate sector. He is well known for his ferocious arguments and he has appeared in several cases before the Company Law Board; Competition Commission of India; Trademarks Tribunals; Intellectual Property Appellate Board; Arbitral Tribunals and other Tribunals and Appellate Tribunals. Many of cases argued by him have been reported in law journals. He is an expert in corporate legal and managerial advisory services. Recently he has also been nominated as an expert, by the MCA and has been invited to share his inputs, as part of the sub group working on amendments to the Companies Act, 2013.

Mr.Ravindran K Warrier is a Fellow Member of Institute of Company Secretaries of India. He has a decade of experience as Company Secretary and Head Finance in the subsidiaries of Kerala State Electronics Development Corporation (KELTRON).During the tenure the focal role was revitalization of the sick subsidiaries.

Thereafter he has more than two decades of experience as Company Secretary and Secretary to Board in Dhanlaxmi Bank Ltd, a scheduled commercial Bank. He was the first Company Secretary appointed by the Bank. As Company Secretary was instrumental in listing the Bank, and raising resources, both shares and bonds, from the public to attain the regulatory capital obligations. He also led the way to put in practice the Corporate Governance frame work in compliance with the Statutory Regulations. During his tenure had also headed the Planning Department and was also instrumental in setting up ancillary business of Insurance (Corporate Agent) and DP. He was in General Manager cadre at the time of retirement in July 2014.

Mr Asok Hastagiri is a practicing Chartered Accountant and has over 25 years of experience in various types of Audits, risk advisory, due diligence and Banking industry. He started his career with renowned international firms Arthur Young and moved on to Arthur Anderson and Co., a leading audit and risk advisory firm, in Middle East practice. After spending a decade in Middle East, he moved to India to join banking industry. He joined Dhanlaxmi Bank and retired as the Chief Risk and Compliance Officer in the rank of Deputy General Manager of Dhanlaxmi Bank. He has worked in credit, accounts, planning and development, Information Technology, Treasury and Risk Management department of the Bank. During his stint in the Risk Management department, his major contributions that drew a great deal of confidence and appreciation from Regulators and the Board of directors were preparation of ICAAP policy document, timely intervention with the top 10 risks faced by the bank and making the bank Basel II compliant. He has also been acclaimed for the Turnaround strategy formation, capital raising activities, business projections, Treasury policy finalization, and handholding various departments in their activities.

His core competency is Risk Management in Financial Institutions. He has gained expertise in assessing various risks, underwriting of credit proposals of entities pertaining to various industries. He has played a key role in ensuring adherence to RBI/regulatory norms and internal policies. He has travelled extensively worldwide to understand business models of various industries – for effective appraisal and underwriting of credit proposals and undertaking Industry analysis. He has experience in internal audits, Risk Based audits and statutory audits of various entities engaged in manufacturing, service and trading sectors. He has also conducted Investigation/due-diligence audits for mergers, acquisitions, amalgamations and reconstructions.

He currently runs his own practice and consulting. He has a passion for teaching and currently is a visiting faculty at various universities and training institutes. He is also a honorary speaker of Risk Management at various forums like ICAI, IIMs and few other B-schools. Ms ShilpaVishwanathan has 7 years of experience in the Banking industry and has worked in the areas of Company Secretaries, Finance, Accounting and Credit of leading Banks like ING Vysya Bank and HSBC. At ING Vysya Bank, she had gained experience in Board process, investor and shareholder relations, compliance and documentation by working in the Secretarial department of the Bank. In the Finance Department, she had gained exposure in International Financial Reporting Standards (IFRS) and Sarbanes Oxley Act (SOX). She has worked in credit post sanction branch operations and has handled legal documentation with respect to fund and non-fund based lending facilities. She had a short stint at Ameriprise India Pvt ltd (an arm of Ameriprise Financial Inc.) where she gained knowledge on handling and planning of personal finances and using tools to determine asset allocation.

Her last stint at HSBC was as a Manager of Corporate Credit in the Global Banking and Markets Division.At HSBC, she had contributed in enabling credit migration from geographies like UK and Hong Kong and played a key role in streamlining the credit process across seven geographies. She had also been involved in handling internal and external audit teams in HSBC for her department. She has gained knowledge of credit documentation, analysis of financial statements and models, financial management and planning, business process reengineering, Management information systems and has imparted training on these areas. She has experience in handling regulatory compliances and conduct of internal audit. She has also worked closely with Risk management teams in assessment of risks relating to financial products. She is currently working as Manager – Audits at KSR & Co. Company Secretaries LLP. She has been involved in conduct of Secretarial Audits for Non Banking Financial Companies.
